Agreement to Terms
By accessing and using MiddleMatic ("Service," "Platform," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service.
Service Description
MiddleMatic is an artist marketing platform that provides tools for event management, email marketing, social media posting, campaign management, and analytics for artists, agents, and music industry professionals.
Account Registration
To use MiddleMatic, you must:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Be at least 18 years old
- Have the authority to enter into this agreement
- Notify us immediately of any unauthorized use of your account
Subscription and Payment
MiddleMatic operates on a subscription basis:
- Subscriptions are billed monthly at $200/month
- Payments are processed securely through Stripe
- You may cancel your subscription at any time
- No refunds for partial months of service
- Late or failed payments may result in service suspension
- Prices may change with 30 days notice
Acceptable Use
You agree NOT to use MiddleMatic to:
- Send spam or unsolicited marketing emails
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Upload malicious code or viruses
- Harass, abuse, or harm others
- Impersonate another person or entity
- Collect or harvest user data without permission
- Resell or redistribute the Service
Social Media Integration
When you connect social media accounts (Facebook, YouTube, Twitter/X, TikTok) to MiddleMatic:
- You grant us permission to post content on your behalf
- You are responsible for compliance with each platform's terms of service
- We are not liable for actions taken by social media platforms
- You can revoke access at any time through your account settings
- We do not control platform algorithm changes or post performance
Email Marketing Compliance
You agree to comply with email marketing laws (CAN-SPAM, GDPR, etc.):
- Only send emails to contacts who have opted in
- Include accurate sender information in all emails
- Provide a clear unsubscribe mechanism
- Honor unsubscribe requests promptly
- You are solely responsible for the content of your emails
Intellectual Property
Your Content: You retain ownership of content you upload (images, videos, text, etc.). You grant us a license to use your content solely to provide the Service.
Our Platform: MiddleMatic's software, features, and branding are our intellectual property. You may not copy, modify, or reverse engineer our platform.
Data and Privacy
Your use of MiddleMatic is also governed by our Privacy Policy. We process data as described in that policy.
Service Availability
We strive to provide reliable service but do not guarantee:
- 100% uptime or uninterrupted access
- Error-free operation
- Specific campaign performance results
- Social media platform API availability
- Email deliverability rates
Limitation of Liability
To the maximum extent permitted by law, MiddleMatic shall not be liable for:
- Indirect, incidental, or consequential damages
- Lost profits, data, or business opportunities
- Damages exceeding the amount you paid in the past 12 months
- Issues caused by third-party services (social platforms, email providers)
- Your violation of laws or platform terms of service
Indemnification
You agree to indemnify and hold MiddleMatic harmless from any claims, damages, or expenses arising from your use of the Service, your content, or your violation of these Terms.
Termination
We may suspend or terminate your account if you:
- Violate these Terms of Service
- Engage in abusive or illegal behavior
- Fail to pay subscription fees
- Request account deletion
Upon termination, you lose access to your account and data. We will delete your data per our Privacy Policy.
Changes to Terms
We may modify these Terms at any time. We will notify you of significant changes via email or platform notification. Continued use after changes constitutes acceptance of the new Terms.
Governing Law
These Terms are governed by the laws of the United States. Any disputes shall be resolved in the courts of the jurisdiction where MiddleMatic is registered.
